Before Adapting a Manga or Light Novel into Anime or a Game: Five Points to Organize before Your First Contact
Companies in Japan and overseas often ask about adapting a manga or light novel into an anime or a game. The first difficulty is usually knowing whom to ask, about what, and in what order. This article is a general organizer of five points worth preparing before you contact a rights holder. It does not describe how any specific work or rights holder will respond, and it is not legal advice.
The sources below explain contact points, options and approvals as general industry practice. Actual terms differ by work and by contract, and the rights holder's answer and the written agreement always take priority.
1. Confirm who the contact point is
Who manages a source work differs from work to work. A Japanese attorney's explanation of anime production contracts (dated December 6, 2023) describes the author as the creator of the source work and the publisher as its manager, with the lead company of a production committee concluding the adaptation license with the publisher. A commentary by Vitrina says the publisher is often the contact point for adaptation licenses and that approaching the author directly should be avoided; since that article also promotes its publisher's services, we treat it only as general background.
- Organize the title, author and publisher using the official names.
- Check whether the work has already been adapted or merchandised, and by whom.
- Follow the contact route the rights holder designates, and do not contact individuals directly.
2. Separate each type of use you want
Anime, games and merchandise are different uses. The attorney's article lists types of secondary-use rights such as television broadcast, theatrical screening, online video distribution, video packages, merchandising, live events, game adaptation, pachinko and pachislot machines, and overseas sales. Vitrina notes that merchandising rights are usually not included in an anime adaptation agreement and are negotiated separately.
- State the kind of use you want and its priority.
- State the media (theatrical, streaming, broadcast, app, console) and the territories.
- Decide whether sequels and related products are part of the first discussion or a later one.
3. Think through the option period
Vitrina describes one possible option structure as a period of exclusive negotiation toward a license, with separate permission needed before production. The legal effect of an option and the scope of permitted development activities depend on the actual agreement and must be checked in writing. The same article gives prices and durations, but because it is promotional and we could not confirm them from primary sources, we do not quote any figures here.
- The length of the option and the conditions for extending it
- What you may do during the option (drafting proposals, approaching funders or studios, sounding out cast candidates)
- What you may and may not announce publicly during the option
4. Agree on the scope of approvals and response times
For projects based on an existing work, a rights holder may need to review or approve scripts, character designs, casting and promotional materials (Vitrina describes this as approval rights). Without an agreed scope and response time, schedules slip easily.
- Which items need approval, and who approves them
- The response deadline after a review request, and what happens if it passes
- Your own internal approval flow, including who makes the final decision
For cross-border projects, language and time-zone differences can lengthen each round, so it helps to fix contact frequency and contact persons early.
5. If a production committee already exists, confirm the window and revenue handling
The attorney's article explains that the "window right" is not a legal concept but a right or position defined in the joint production agreement. The holder of this right receives license fees from secondary users, deducts a window fee, and the remainder is distributed to investors in proportion to their investment.
For a work that has already been animated, uses related to the animation may require coordination with the production committee side.
- Who holds the window for uses related to the animation
- How revenue is split and how it is calculated, confirmed in writing
- The order and method of obtaining consent when several parties are involved
